BioSteel Partnership Programs Terms and Conditions

Effective Date: November 17, 2025

1. Agreement to Terms

By submitting the BioSteel Ambassador Programs form [covering the BioSteel Ambassador Programs, BioSteel Content/Athlete Creator Program, and BioSteel Pro-Athlete Program] you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions (“Terms”).

2. Program Overview

These Terms govern the relationship between BioSteel Sports Inc. (“BioSteel,” “we,” “our,” or “merchant”) and the individual (“you” or “ambassador”) who promotes BioSteel products through the BioSteel Ambassador Programs.

As a BioSteel Ambassador, you’ll share your unique code and link to inspire others to choose clean, healthy hydration while earning commissions and rewards.

3. Eligibility

  • You must be 18 years or older to create an ambassador account.

  • For minors, a parent or legal guardian must manage the account. Parents must email ambassadors@biosteel.com to confirm management.

  • A valid PayPal account is required to receive commission payments, which ambassadors must input into their profiles after invitations are sent.

4. Registration and Approval

BioSteel reserves the right to approve or reject any application at its sole discretion.

Applicants who do not meet BioSteel’s ambassador standards or brand alignment criteria may not be accepted.

5. Discount Codes and Ambassador Links

  • Upon approval, ambassadors may create a 20% discount code and receive a unique referral link.

  • Sales made through your discount code or referral link will earn you a 10% commission.

6. Commissions and Payments

  • Commission Rate: 10% on all sales made via your discount code or referral link.

  • All payments will be made through PayPal, as specified in your ambassador profile settings.

7. Tracking and Cookies

  • BioSteel uses cookies to track purchases made through your referral link.

  • Cookies remain active for 30 days, ensuring commissions for purchases made within that period.

8. Tier Rewards (BioSteel Ladder Program)

As part of the Ambassador Program, approved ambassadors may be eligible to participate in the BioSteel Ladder tier rewards program (“Tier Rewards”).

8.1 Eligibility

  • Ambassadors must be officially approved into the BioSteel Ambassador Program and maintain an active referral code or link when reaching each sales milestone.

8.2 Sales Milestone Calculation

  • Only genuine, completed, paid, ethical (see Section 9), and non-refunded transactions made through the ambassador’s referral code or link count toward Tier Rewards milestones.

  • Self-purchases and duplicate orders by the ambassador do not count toward sales milestones.

8.3 Reward Entitlement

  • Ambassadors are eligible to receive rewards upon reaching each tier milestone as defined by the BioSteel Ladder (e.g., Rookie, Locker Room, Squad Leader, etc., as displayed on BioSteel’s official materials).

  • Rewards are cumulative—ambassadors may continue earning additional tier rewards as they reach higher cumulative sales levels.

  • Rewards cannot be exchanged, returned, or converted to cash or store credit.

8.4 Sales Reset

  • Cumulative sales toward tier milestones will reset annually on January 1st of each calendar year.

  • Ambassadors must requalify for each tier after the reset period to continue earning rewards.

8.5 Product Kit Details

  • Kit contents and specific reward items may vary at BioSteel’s discretion.

  • Items may be substituted with products of equal or greater value depending on availability, inventory, or seasonal considerations.

8.6 Fulfillment Timeline

  • Rewards typically ship within 30 days of qualifying for a tier; however, timelines may vary based on location, order volume, product availability, shipping constraints, and other external factors.

8.7 Program Integrity

  • Misuse of referral codes, artificial sales generation, or any violation of these Terms (including Section 9 – Ethical Promotion) may result in loss of rewards and/or removal from the program.

  • BioSteel may audit ambassador accounts and transactions at any time to verify compliance.

8.8 Program Adjustments

  • BioSteel may update, modify, or discontinue Tier Rewards, specific tiers, rewards, or related terms at any time.

  • Ambassadors may be notified of significant changes via email, dashboard notifications, or other reasonable methods.

9. Ethical Promotion

Ambassadors must represent BioSteel with integrity and authenticity.

The following are strictly prohibited:

  • Paid advertising or misleading promotions

  • Manipulative SEO tactics

  • Spam-style posting or excessive link sharing

  • Misrepresentation of BioSteel’s products or brand

Any ambassador found violating these guidelines may be removed from the program and required to reapply.

10.a Content Sharing and Usage Rights for BioSteel’s Ambassador Program

By sharing or submitting photos, videos, or other content (“Content”) featuring BioSteel and tagging or collaborating with the brand, you grant BioSteel a worldwide, royalty-free, perpetual license to use, reproduce, and distribute your Content across:

  • Digital marketing, websites, and social media

  • Internal presentations and communications

  • Events, trade shows, and promotional materials

You confirm that you own or have permission to share all submitted Content and agree to indemnify BioSteel from any claims related to ownership or rights.

If you wish BioSteel to stop using specific Content, please email ambassadors@biosteel.com. BioSteel will make reasonable efforts to remove it from future use but is not obligated to recall or modify previously published materials.

Personal and registration data are not included in “Content” and are handled under our Data Privacy policy.

10.b Content Sharing and Usage Rights for BioSteel’s Content/Athlete Creator and Pro-Athlete Programs

By sharing or submitting photos, videos, or other content (“Content”) featuring BioSteel and tagging or collaborating with the brand, you grant BioSteel a worldwide, royalty-free license to use, reproduce, and distribute your Content across:

  • Digital marketing, websites, and social media

  • Internal presentations and communications

  • Events, trade shows, and promotional materials

for the period of time stated and agreed upon by both parties in your respective partnership agreements.

You confirm that you own or have permission to share all submitted Content and agree to indemnify BioSteel from any claims related to ownership or rights.

If you wish BioSteel to stop using specific Content, please email ambassadors@biosteel.com. BioSteel will make reasonable efforts to remove it from future use but is not obligated to recall previously published materials.

Personal and registration data are not included in “Content” and are handled under our Data Privacy policy.

11. Data Privacy

By joining the Ambassador Program, you consent to BioSteel Sports Inc. and its parent company, Coachwood Group Inc., collecting and processing your personal data for purposes including:

  • Account and payment management

  • Program fulfillment and communication

  • Improving ambassador experience and brand initiatives

Your information will not be sold or rented to third parties, except as required by law, and will be handled per BioSteel’s Privacy Policy and applicable privacy laws.

12. Taxes

Ambassadors are solely responsible for their own tax obligations arising from commissions or cashback earned through the program.

13. Program Rewards and Modifications

BioSteel may modify, expand, or discontinue reward tiers, program benefits, and the overall program structure at any time without prior notice.

14. Program Abuse and Fraud

  • BioSteel reserves the right to suspend or terminate accounts involved in fraudulent activity.

  • Discount codes found on public coupon sites will be disabled automatically, and ambassadors will have 30 days to create a new code.

  • During promotional sales, discount codes may be temporarily disabled, but commissions earned through referral links will still apply.

15. Removal from the Program

If you wish to leave the program, please contact ambassadors@biosteel.com to request account removal.

17. Changes to Terms

BioSteel reserves the right to modify or update these Terms at any time. Significant updates may be communicated via email or through your ambassador account.
